1. Acceptance of Terms

By creating an account on or accessing Pennant Games ("the Service", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We may modify these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes acceptance.

2. Description of Service

Pennant Games is an online basketball simulation game that allows registered users to create and manage virtual basketball teams, simulate games using a statistical engine, participate in leagues with other users, conduct virtual player drafts and trades, and view detailed game statistics and analytics. The Service is provided for entertainment and recreational purposes only. Simulation results are algorithmically generated and do not constitute predictions of real-world sporting events.

3. Eligibility

  • You must be at least 13 years of age to create an account and use the Service.
  • If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have the consent of a parent or legal guardian.
  • By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

  • You must provide accurate, current, and complete information during registration.
  • You are solely responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • One account per person. Creating multiple accounts to gain an unfair advantage or circumvent restrictions may result in immediate suspension or termination of all associated accounts.
  • We reserve the right to refuse registration or cancel accounts at our discretion.

5. User Content and Conduct

"User Content" includes team names, player display names, league names, trade proposals, and any other content you create or submit through the Service.

  • You retain ownership of your User Content but grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute it in connection with operating the Service.
  • You are solely responsible for your User Content and represent that it does not violate any third-party rights.
  • We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Harass, abuse, threaten, intimidate, or impersonate other users
  • Submit content that is obscene, defamatory, discriminatory, or hateful
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Use automated scripts, bots, or other tools to access the Service without our express permission
  • Interfere with or disrupt the Service or servers
  • Manipulate game outcomes, league standings, or prediction markets through collusion, multi-accounting, or exploitation of bugs
  • Sell, trade, or transfer your account or any virtual items to third parties for real-world value
  • Reverse-engineer, decompile, or disassemble any part of the Service

7. Virtual Items

The Service may include virtual items (players, teams, draft picks). These virtual items:

  • Have no real-world monetary value
  • Cannot be exchanged for real currency, goods, or services outside the platform
  • Are non-transferable outside the Service's built-in trading mechanisms
  • Are non-refundable
  • May be modified, suspended, or removed by us at any time
  • Do not constitute property that you own; they are licensed to you for use within the Service

8. Ethereum Wallet Integration

The Service allows optional connection of Ethereum wallets to claim legacy players. By connecting your wallet:

  • You represent that you are the authorized owner of the wallet address
  • You authorize us to verify your wallet ownership through cryptographic signature
  • We do not store your private keys, seed phrases, or wallet passwords
  • We are not responsible for any loss of cryptocurrency, tokens, or NFTs
  • Legacy player claims are based on a historical snapshot and may not reflect current token ownership

9. Intellectual Property

The Service, including its design, code, graphics, interfaces, and all original content, is owned by Pennant Games and protected by copyright, trademark, and other intellectual property laws. Historical basketball player names and publicly available statistics are used under First Amendment protections as established in CBC Distribution v. Major League Baseball Advanced Media (2007).

10. Third-Party Services

The Service may integrate with third-party services (authentication providers, blockchain networks, analytics). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of such services is subject to their own terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNSTRUCTURED VENTURES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Unstructured Ventures, LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pennant Games regarding the Service.
